For our client, an international foundation, we are looking for a:


Corporate Governance Officer


Main mission: to manage and execute, and structure and foresee, key global and local corporate governance matters.





Main responsibilities:


  • Engaging the country units and others, prepare or revise as necessary any resolutions; documents and processes for appointments (local governance and management roles); Memoranda of Understanding; Powers of Attorney; and other key items that link with corporate governance. Wherever necessary, review these with Senior Legal Officer vis-à-vis relevant legal matters. Finalise these documents, with a view towards high-quality and error-free outputs, and consolidate and summarise for submissions and signatures. Over time, this might involve directly making such submissions following receipt of approval. Subsequent to signatures, share files with country units and address any follow-up matters.


  • Develop and maintain an inventory of corporate governance-related documents/information, across the foundation units. This initiative will involve the conceptualisation and structuring of an information management system(s); identification of what is considered in scope to include; gathering of inputs and assurance of their completeness and correctness; and accessing and providing the contents to stakeholders as necessary.


  • Identify, promote and ensure best practice in the Foundation on corporate governance matters, encompassing any policies, systems and tools. This responsibility also necessitates that requirements or issues be anticipated, with a view towards taking necessary measures beforehand to prevent or mitigate any issues-as opposed to managing these mainly in response mode whenever they arise. Develop a culture of quality on corporate governance.

Profile:


  • University degree(s) in relevant field(s) (examples are law and business), or certification in corporate governance specifically.
  • Typically 5+ years of professional work experience in, or relevant to, corporate governance (three years could exceptionally be considered), preferably involving multi-country contexts, and preferably involving the international development or not-for-profit sectors.
  • Very high attention to detail in preparing or revising written outputs, across all key aspects: correctness, completeness, presentation, etc. The supervisor and stakeholders should largely be confident to approve outputs, without needing to make proofread-type edits.
  • An efficient approach to ensure that request move quickly towards the necessary outcomes.
  • An ability to engage numerous stakeholders, across different cultures and levels of seniority
  • Fluency in English is required. Ability to work in other relevant language(s) would be an asset.
