• Provide legal support and advice to upper management on relevant legal issues
• Ensure compliance with the internal controls, statutory regulations and other formalities
• Calculate and handle risks in business process and decision making
• Draft legal documents such as contracts, statements, agreements etc.
• Execute procedures for protecting patents, trademarks, and industrial designs
• Manage litigation
• Monitoring current changes in all relevant areas of laws and contributing to the enhancement of the knowledge base of the company's legal function
• Implement and manage an effective legal compliance program
• Support the CEO and the CFO with the yearly review and update of the Risk Assessment
• You work with the organisations external legal advisors to regulate legal issues outside Switzerland on a needs basis

Employment laws

• Review, monitor and advise CEO, Senior Management and HR on employment laws in countries where staff are employed. Ensure employment contracts are compliant with local laws and provide legal advice to management/HR on relevant staff issues. Work with local legal representatives when required.

Business operations and risk management

Monitor the business environment in Europe and possibly other regions to ensure they operate in compliance with applicable regulations. Ensure compliance with data protection regulations and advise on any data breaches/cybercrimes.

Contracts

Review and advise on suitability of agreements with sponsors and suppliers to ensure they best serve their interests. Implement best practice procedures for RFP calls.

Intellectual Property

Oversee management of trademark registrations and intellectual property. Monitor and respond to infringements of IP rights.

Internal Policies

Develop and review company policies. Propose company-wide legal compliance programs and general or specific policies.

Develop and maintain internal compliance testing and monitor activities to ensure compliance with applicable regulatory requirements and internal policies and procedures;

Business Risk Management Compliance

Develop and implement compliance and risk management programs and initiatives and ensures the Society functions in a legal and ethical manner while meeting its business goals

Legal and Procedural Compliance

Perform risk management assessment by evaluation of all applicable laws and implementation of necessary changes to existing protocols as appropriate

Ensure General Compliance

Privacy and confidentiality compliance

Ensure compliance with General Data Protection Regulation (GDPR) and with the Swiss Federal Act on Data Protection (FADP)

• 15 years or more experience in similar roles with at least 10 years in Switzerland
• Law degree
• MA/MBA an advantage
• Experience/ Understanding of non profit sector
• Compliance and risk management experience in commercial sector
• Able to network with external lawyers representing them in several jurisdictions
• Creation of legal defence strategies
• Passion and ability for legal, organizational and procedural analysis
• Excellent oral and written communication skills
• Strong analytical skills, attention to detail and time management
• High-level written and spoken English and Italian, German would be an advantage
