Our client is looking for a:
Senior Legal Counsel, Corporate Transaction
As a Senior Legal Counsel in the Corporate Transactions Department, you will play a pivotal role in advising and supporting our client global business operations on a wide range of complex corporate and transactional matters. You will be responsible for managing and executing high-value international transactions from inception to completion, ensuring legal compliance, risk mitigation, and alignment with our client's strategic objectives:
-Lead, advise on and manage the legal aspects of international joint ventures, M&A transactions (both asset and share deals) and internal reorganisations, including:
-Draft, review, and interpret legal documentation, analyse legal issues, and make recommendations on necessary actions in substantial legal matters in a fast-paced, international setting.
-Evaluate and negotiate contractual terms across jurisdictions; advise commercial teams on legal risks.
-Advise on corporate matters, including:
-Collaborate with compliance and competition teams to align legal input on corporate and commercial projects.
-Consult with management, internal teams, external counsel, and regulators.
YOUR BACKGROUND
-Qualified lawyer with 6+ years of post-qualification experience in a top-tier law firm or multinational in-house team.
-Strong background in international corporate transactions, especially JVs and M&A. Experience in commercial contracting, real estate, construction, and tender processes advantageous.
-Deep understanding of corporate law, governance, and regulatory frameworks.
-Strong negotiation, drafting, commercial acumen, analytical and decision-making abilities.
-Excellent organizational skills with experience of handling numerous and competing tasks and priorities of complex, cross-border matters independently and under pressure.
-Excellent communicator, collaborative.
Initiative-taking, accountable, deadline driven.
-Able to work independently while keeping others informed.
-Fluent in English and business knowledge of other languages (Spanish, Portuguese or French).
-Willingness to travel internationally as needed.

Based in Geneva.
